Structuring and Documenting Asset-Based Loans
        About the Presenters

Robert A. Zadek, of the San Francisco office of Buchalter Nemer, handles factoring, asset-based lending, loan documentation, trade finance and letters of credit, loan workouts, and bankruptcy.  Before joining the firm he was in charge of problem loans for Wells Fargo Bank, San Francisco, where he was Vice President and Senior Council.

While practicing in New York, Bob was President of the Association of Commercial Finance Attorneys. He taught a course in secured transactions at Rutgers University School of Law and graduate courses in corporate finance at Hofstra and Adelphi Universities. He earned his Master of Law Degree at New York University School of Law and is a Certified Public Accountant.

Bob is a past Chair of the Commercial Financial Services Committee of the Business Law Section of the American Bar Association and was founder and Chair of its Loan Documentation Subcommittee.  He was also an advisor to the Drafting Committee on the Revision of Article 9 of the Uniform Commercial Code.

Bob has taught seminars on asset-based lending for the Commercial Financial Association, which presented him with their "Educator of the Year" award for his popular loan documentation workshop. His column, "You Be The Judge", is a regular feature in the Association's journal, The Secured Lender.

Bob was named one of the Best Lawyers in America by the Editors Methodology Woodland/White, Inc. for their 10th Edition 2003-2004.

 

Harvey Friedman, a seasoned veteran of over 37 years in the asset-based lending industry, spending 32 years with Gibraltar Corporation of America, a wholly owned subsidiary of a 35 billion dollar bank as Executive Vice President, Chief Credit Officer and Portfolio Manager.  Harvey was responsible for an asset-based portfolio totaling over 850 million dollars. After retiring from Gibraltar, he became the Managing Director of Asset-Based Lending for Sterling National Bank.  Upon leaving Sterling Bank, Harvey served as a consultant for lenders, doing workouts and turnarounds.

For the last two and one-half years, Harvey has been the Chief Credit Officer for Lenders Funding, LLC. Lenders Funding participates with other lenders in both asset-based lending and factoring transactions. The company also makes direct loans to specialty type lenders.

Harvey is a director of the Commercial Finance Association, a member in the Commercial Finance League, the Financemen’s Club, the NY chapter of the CFA and a member of the Committee for Cooperation with Accountants for the CFA.

Harvey graduated from Brooklyn College cum laude with a BS in Economics majoring in accounting, and attended the Baruch School of Business for an MBA.
